The undersigned, pursuant to the bylaws of the South County PTSO Inc, (“the Corporation”), and the Virginia Corporation Code, being all of the directors of the Corporation hereby waive notice of a meeting and consent in writing to the resolutions set forth herein. Such written consent is to be filed by the Recording Secretary with the minutes of the Corporation.
